Lorenzo Bottero

Born in Genoa on 5 October 1972, he graduated in law from the University of Genoa in 1996. He was admitted to the Genoa Bar Association in 1999.

He is qualified to appear before the supreme court.

He mainly deals with commercial, corporate and bankruptcy law. He has gained significant experience in, among other things:

– commercial law, assisting client companies in negotiating agreements and understandings, drafting contracts, and interpreting and executing them;

– corporate law, advising companies and their administrative bodies in the incorporation phase (drafting articles of association, shareholders’ agreements, etc. ), the management of shareholder relations, preparation of and participation in meetings of governing bodies, the choice of the most appropriate models of governance, the delegation of functions, transactions involving the purchase and sale of shares or quotas as well as the transfer of companies or business units, financing transactions (negotiation with credit institutions cash or signature lines, as well as the related security packages, assisting various companies in the issuance of bonds, etc. ), extraordinary transactions, including joint venture agreements, as well as in corporate compliance issues, reorganizations and liquidations;

– bankruptcy and business crises law, in the interest of: (i) bankruptcy receivers with reference to liability actions, revocatory actions and, more generally, assistance in various litigations and drafting of opinions; (ii) private investors in the assumption of bankruptcy or compulsory administrative liquidation assets and in the acquisition of revocatory actions rights; (iii) various companies and groups in the negotiation and stipulation of reorganization and debt restructuring agreements, as well as in the presentation of proposals of compositions with creditors, both with the liquidation of assets and business continuity;

– energy law, advising industry players in the construction, purchase and sale of energy plants and operating companies, negotiation of contractual, corporate and banking agreements, as well as project financing agreements, development and joint venture agreements and in other contractual or corporate issues;

construction & engineering law, assisting leading players in the negotiation and drafting of procurement, EPC, O&M contracts and related guarantees.

In the above areas, he is currently involved in litigation, including arbitration (acting also as Arbitrator).

He regularly corresponds in English and French.
